By accessing or using HumanShield's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the service.

3. User Accounts

5. Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of HumanShield and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks, service marks, logos, and trade dress may not be used in connection with any product or service without our prior written consent. You are granted a limited, non-exclusive, non-transferable license to access and use the service for personal or internal business purposes.

6. Payment Terms

Certain aspects of the service may be provided for a fee. You agree to pay all fees associated with your chosen subscription plan or service tier. All fees are quoted in U.S. Dollars unless otherwise stated.

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. We reserve the right to modify pricing with reasonable notice.

7. Service Level Agreement

While we work diligently to meet these standards, the service is provided "as is" and we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows and force majeure events are excluded from uptime calculations.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall HumanShield, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

• Loss of profits, revenue, data, or use
• Business interruption or loss of goodwill
• Cost of procurement of substitute goods or services
• Any other intangible losses

Our total liability to you for all claims arising from or relating to the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless HumanShield, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your use or misuse of the service
• Your violation of any third-party rights, including intellectual property rights
• Any content you submit, post, or transmit through the service
• Your violation of any applicable laws or regulations

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

10. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination:

• Your right to use the service will immediately cease
• We may delete your account and all associated data
• You remain liable for all charges incurred prior to termination
• Provisions that by their nature should survive termination will survive

You may terminate your account at any time by contacting us or using the account deletion feature in your account settings. If you wish to export your data before termination, please do so before initiating the termination process.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms constitute the entire agreement between you and HumanShield regarding our service and supersede any prior agreements.

12. Dispute Resolution

In the event of any dispute, claim, or controversy arising from or relating to these Terms or the service, the parties agree to the following resolution process:

You agree to waive your right to a jury trial and to participate in class action lawsuits. The arbitration will be conducted in California, and judgment on the arbitration award may be entered in any court having jurisdiction.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification to the address associated with your account
• Displaying a prominent notice on our website or within the service
